Dear Clients,

Thank you for trusting in our services.Besides the principal points which have been extracted to the Quote, below is the full version of our Statement of Work to be applied. If you have any concerns, please do not hesitate to let us know via inquiry@gtelocalize.com; or via the Localization Consultant that you have been working with.

1. Scope of Work

The quoted amount is based on the analysis of the files provided by the Client. If changes are made by the Client after the Quote is initiated, a notice of change must be delivered to GTE and considered to be valid when such change is accepted by GTE. Actual payments shall be based on revised Quotes.

 

2. Life-time Warranty

GTE is obliged to support the free-of-charge editing and corrections for the Client, without time limitation, if the errors are found to be GTE’s fault, according to the legal original copies initially provided by the Client and/or the Client’s requirements as accepted by the parties, when the relevant evidence is provided to prove such errors.

GTE shall not support corrections/editing if:

– Errors found are caused by the Client.

– GTE work has been assigned to a third party by the Client for correction and editing, resulting in errors.

– GTE shall not be liable for payments to any third parties employed by the Client to perform correction or editing on behalf of GTE without GTE’s prior agreement.

 

3. Financial Conditions

– The Quote amount is Tax (VAT/GST) exclusive or inclusive depending on each specific Quote. We can adjust this information to your requirements.

– The Client needs to sign the Quote and pay the initial deposit for the work to begin.

– Payment Schedule: as stated in each Quote.

– Payment Method: as stated in each Quote.

– Transfer fee: the Client will cover 100%.

– Late Payment surcharge: If the Client makes a delayed payment to GTE, we would need to surcharge 1% of the delayed payment per day.

 

4. Rights And Obligations Of Both Parties

4.1. Rights and Obligations of GTE

– To request the Client provide all necessary information for undertaking the Quote.

– To receive full-service charges as agreed in the Quote.

– To ensure accurate translation of the source text in accordance with the original text and the Client’s requirements, as accepted by both parties.

– To keep all information confidential and not to disclose information to any third party without the Client’s consent. At the request of the Client, in writing or by email, upon delivery, GTE shall delete all original copies as provided by the Client, and products as the result of work that has been kept by GTE to secure the documents for the Client. A non-disclosure agreement may be implemented by both parties in the form of an addendum.

4.2. Rights and Obligations of the Client

– To check the workflow with GTE.

– To recommend, request, and suggest viewpoints to GTE to minimize defects if GTE fails to comply with the Client’s requirements.

– To provide GTE with documents that are not prohibited by the law, and to take full responsibility for this. For content, the original copies and relevant documents, as well as the accuracy and use purpose of the available information, must be provided. GTE only assures to translate accurately from the source language to the target language and releases from obligations of the use purposes, and any disputes related to the above documents.

– Upon a change in the Client’s organizational structure, including separation, merger, consolidation, etc., GTE must be notified in writing. Otherwise, content herein will be implicitly applied and valid to the new legal representative and successor of the Client.

– During the Contract validity and one year after the Contract’s expiry, the Client undertakes not to establish any independent interpretation of service-related transactions with or through GTE employees, freelancers, and service providers who have been working with the Client. The Client is not allowed to look for a referral or cooperation with a third party through such persons to set up transactions similar to those herein.

– To not disclose any confidential information to any third parties without GTE’s consent. The information is considered to be confidential information when such information is not publicly disclosed by GTE.

 

5. Contact Method

– GTE’s person in charge (PIC) is an employee of GTE who will keep in contact and work with the Client via email with the address, i.e. …@gtelocalize.com or …@gte-media.com. The PIC of the Client is the person who provides GTE with information to create the Quote or their successor who continues to work with GTE.

– The PIC of the parties is the primary contact point hereof. The PIC may exchange information, send and receive the documents, and notify the authorized person of the other party about any changes in a timely manner, if any. Any disputes related to a party’s obligations shall be removed if the other party’s representative has received the information but failed to notify their authorized person.

– When changes to the PIC are made, the party making the changes must send a notice of changes and notify an alternative PIC to the other party. The recipient shall terminate the liaison with the previous PIC. The notifying party will not be liable for any risks related to the other party’s transactions with the replaced PIC upon receipt of the notice.

– Quote approval is considered to be valid when consent is obtained from the parties’ PICs. Such consent may be signed in writing by each party’s representative or an authorized person, via email as confirmed by the parties’ PICs.

1. Service Location

Either at the required physical location by the Client or via virtual locations such as Zoom meetings or other virtual platforms.

 

2. Financial Conditions

a. The Quote amount is Tax (VAT/GST) exclusive or inclusive depending on each specific Quote. We can adjust this information to your requirements.

b. The Quote amount excludes fees payable to the interpreter, in the event that the interpreter has to stay on-site, specifically:

– Traveling costs;

– Accommodation and meal costs.

c. The Client needs to sign the Quote and pay the initial deposit for the work to begin.

d. Payment Schedule: as stated in each Quote.

e. Payment Method: as stated in each Quote.

f. Transfer Fee: The Client will cover 100%.

g. Late Payment surcharge: If the Client makes a delayed payment to GTE, we would need to surcharge 1% of the delayed payment per day

 

3. Work Schedule

As stated in the Quote. In the event that the Client amends the expected commencement date, the changed content shall be confirmed via email to GTE’s account manager.

Upon changes to the work schedule, the Client is obliged to confirm in a timely manner such changes in writing, so that GTE may coordinate with the interpreter. If the Client fails to notify, or notifies changes after the interpreter has traveled to the service location, the following fees must still be paid by the Client:

a. Service cancellation by the Client as the Article 5 below.

b. If the work schedule is changed to a different schedule, the interpretation, travel, and food costs corresponding to the time that the interpreter had traveled to and from the site, shall be paid. At a minimum, the costs must be equivalent to paying for 1 working day of the interpreter’s work, as prescribed herein.

 

4. Change in Work Volume

a. In the event that the number of service days is increased by the Client, an additional PO must be agreed upon by both parties. Otherwise, confirmation may be made via email, or other forms of electronic transmission, to the parties’ account manager. Content confirmed by the parties’ account manager is regarded as an addendum and an integral part of this Contract.

b. Reduction of work volume after the Quote is signed will be considered as partial cancelation and will be applied to the cancellation fee as the Article 5 below.

 

5. Service Cancellation

If the service is entirely or partially canceled by the Client after the Quote is signed, the following fee shall be applied:

– Notification at least 10 working days: 0% payment for canceled service value.

– Notification at least 5 working days: 50% payment for canceled service value.

– Notification at least 1 working day: 100% payment for canceled service value.

 

6. Interpreter Replacement

6.1. Interpreter replacement will be undertaken without additional charge by GTE if:

– The interpreter fails to supply the service, except when the Client is at a serious fault;

– The interpreter service quality is proved to be unqualified by the Client under terms previously agreed with GTE.

6.2. When the interpreter refuses to provide the service due to serious fault on the Client’s behalf, resulting in the interpreter being replaced by GTE, the Client must still make full payment for any expenses agreed herein. Serious fault on the Client’s part includes but isn’t limited to:

– Sexual harassment.

– Intentional misconduct leading to injury or threatened injury.

– Offense to honor and dignity.

– Requirement for service at another site without GTE’s consent.

– Other behaviors that cause danger or the threat of danger to the interpreter’s health and assets.

– Service content contrary to the initial agreement in terms of interpretation fields, working hours, interpretation forms, and nature of work.

 6.3. The Client may only replace the interpreter at most 2 times per person during the service period. The period of time allowed to provide substitutes is agreed upon by both parties.

 

7. Rights And Obligations Of Both Parties

7.1. Rights and obligations of GTE

– To provide the Interpreter at the Client’s request.

– The interpreter is obligated to interpret accurately in terms of content, meaning, context, and styles from the source language to the target language.

– To comply with the Client’s job description during the service period.

– To replace a disqualified interpreter as prescribed herein.

– To keep all information confidential and not to disclose any information to any third party without the Client’s consent.

7.2. Rights and obligations of the Client

– To provide the interpreter with the documents relating to interpretation content before work commences, if any, and to take responsibility for the legality of such documents.

– To pay for accommodation and meal costs of the interpreter during the service period. If the service location is far away, requiring the interpreter to arrive at the site the day before, the Client will supplement the accommodation and meal costs of such a stay one day before the interpretation service is commenced, unless otherwise agreed herein.

– To not make direct payment to the interpreter without GTE’s consent. Any amounts or assets directly paid to the interpreter are not regarded as a basis to deduct any costs hereof.

– During this Contract validity, and one year after the Contract expires, the Client undertakes not to establish any independent transactions relating to interpretation service with or through the interpreter.

– To not disclose any confidential information to any third parties without GTE’s consent. The information is considered to be confidential information when such information is not publicly disclosed by GTE.

– When risks are incurred by the interpreter during the service period, that are not the fault of the interpreter and/or GTE, the damages incurred by the interpreter must be indemnified by the Client, in a similar way that their employee would be, under the applicable laws.

– To take full responsibility for the accuracy and use purpose of the contents or information to be interpreted by GTE. GTE only assures to interpret accurately from the source language to the target language and releases from obligations of the accuracy, use purposes, and any disputes related to the above contents or information.
